0. Acceptance and Scope

Please read these terms and conditions of use carefully (the “Terms”). By clicking “Accept”, registering or using the platform owned by MetamedicsVR S.L. (“MetamedicsVR”, “we”, “our” or “us”), you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Platform.

1. Definitions

  • End User: a natural person authorized to access the Service, either individually or as part of a client organization.
  • Client: a natural or legal person who contracts the Service.
  • Platform or Service: the simulation system developed by MetamedicsVR, accessible via the web and VR-compatible devices.
  • User Content: information entered, audio recordings or responses generated during use.
  • Personal Data: any information that allows a person to be identified directly or indirectly, in accordance with Regulation (EU) 2016/679 (GDPR).

2. Description of the Service

MetamedicsVR offers a simulation platform based on artificial intelligence (AI) and immersive technologies, aimed at training and developing skills in educational and professional environments. The Platform includes:

  • Software accessible via the web or through compatible VR devices.
  • Features such as recording of attempts, generation of analytics, and assignment of simulations by instructors or administrators.
  • Graphic, audio and functional content owned by or licensed to MetamedicsVR.

Important: This Service is strictly for training purposes. It must not be considered a medical tool, nor does it create a doctor-patient relationship or provide any clinical diagnosis.

3. Registration, License of Use and Renewal

3.1. License

MetamedicsVR grants the Client a non-exclusive, non-sublicensable, non-transferable and revocable license to access and use the Platform, within the contracted plan and solely for internal educational purposes.

3.2. Number of users

For institutional clients, the subscription is limited to the number of End Users established in the contract or order.

3.3. Duration and renewal

Unless otherwise agreed, subscriptions renew automatically for periods equal to the one originally contracted. The Client may cancel automatic renewal by giving notice 15 days before the renewal date.

3.4. Technical support

The Service includes technical support by email on business days from Monday to Friday, 9:00 to 18:00 CET. Response times are 48 business hours for standard incidents.

4. Personal Data and Recordings

By using the Platform, the Client accepts and understands that:

  • Interactions carried out by users within the Platform may be recorded in audio and text format solely for educational or assessment purposes.
  • Audio recordings are automatically deleted once processed. They are not permanently stored in MetamedicsVR’s systems.
  • Transcripts of interactions (text) may be retained for the sole purpose of providing feedback to students, teachers or academic administrators. These transcripts do not contain identifiable data and are not used for commercial purposes or individual analysis.
  • MetamedicsVR may use fully anonymized and aggregated data for statistical purposes and for the general improvement of the Platform. Under no circumstances is personalized analysis carried out, nor are individual data used to train artificial intelligence systems or for any purpose other than those expressly authorized.

4.1. Consent and responsibility

In institutional contexts, the Client (organization) is responsible for:

  • Properly informing End Users about the use of their personal data.
  • Obtaining the necessary valid consents, in accordance with applicable regulations (GDPR/LOPDGDD).
  • Informing users about their rights (access, rectification, erasure, portability, restriction of processing and objection).

MetamedicsVR acts as Data Processor with respect to the data it processes on behalf of the Client. A DPA (Data Processing Agreement) can be provided if required.

4.2. Retention and deletion

Personal data will be retained for the duration of the contract and deleted within a maximum of 90 days after its cancellation, except where there is a legal obligation to retain it for longer.

5. Restrictions of Use

The User agrees not to carry out the following actions:

  • Sublicense, rent or resell access to the Platform.
  • Reverse engineer, decompile or modify the software.
  • Use the Service to develop competing software.
  • Introduce viruses or attempt to gain unauthorized access to related systems.
  • Use the Platform’s AI to generate defamatory, discriminatory, violent or misleading content, or content that infringes the rights of third parties.
  • Create fake accounts or share accounts between individuals.

MetamedicsVR may suspend or cancel access for any breach of this section.

6. Fees, Payments and Trial Period

6.1. Fees

Use of the Platform is subject to the fees indicated in the contract or the official website. All prices exclude applicable indirect taxes (VAT or others), unless otherwise stated.

6.2. Payment terms

  • The Client must make payments within the agreed time and manner.
  • In the event of non-payment, late-payment interest of 1.5% per month may be applied and access may be temporarily suspended.
  • Fees are non-refundable, unless the law provides otherwise.

6.3. Price revision

MetamedicsVR may update the fees on future renewals. The Client will be informed with a minimum notice of 30 days.

6.4. Free trial

Free trial periods may be offered. MetamedicsVR reserves the right to modify or cancel this option without prior notice.

7. Warranties and Exclusions

MetamedicsVR is committed to offering a satisfactory and constantly improving user experience. However, the Client understands and accepts that:

  • The Service is provided “as is” and subject to availability. Although we work to ensure the greatest possible stability, we cannot guarantee that access to the Platform will be completely uninterrupted, error-free or free of technical risks.
  • The results obtained through the use of the Service, including interactions with the artificial intelligence, may not always be accurate or suitable for every specific purpose. We recommend that users complement the content with professional judgment.
  • Content automatically generated by the AI may occasionally contain errors or sub-optimal responses. We are continuously working to improve its quality and accuracy.
  • The compatibility of the Service with browsers, devices or virtual reality headsets may vary. The minimum and recommended technical requirements are available on our official website.

8. Limitation of Liability

To the maximum extent permitted by law, MetamedicsVR shall not be liable for:

  • Indirect, incidental, special or consequential damages.
  • Loss of profits, revenue, data or business interruption.
  • Content generated by users or by the Platform’s AI.
  • Any failure arising from causes beyond MetamedicsVR’s reasonable control.

MetamedicsVR’s total liability for any claim shall not exceed the amount paid by the Client in the twelve (12) months prior to the event giving rise to the liability.

This clause does not limit our liability in cases of fraud, gross negligence, willful misconduct or personal injury caused by our direct actions.

9. Cancellation and Suspension of the Service

9.1. By the Client

The Client may cancel its subscription at any time by giving written notice to beatriz@metamedicsvr.com at least 15 days before the next renewal date. Cancellation will not give rise to a refund of amounts already paid, except as required by law.

9.2. By MetamedicsVR

We reserve the right to suspend or cancel your access to the Service if:

  • These Terms are breached.
  • Improper or fraudulent use is detected.
  • It is required due to legal or regulatory changes or cessation of operations.

9.3. Access and deletion of data after cancellation

The Client may request a copy of the available data (e.g. simulation results or logs) for up to 90 days after cancellation. After that period, the data will be permanently deleted, except where there is a legal obligation to retain it.

10. Applicable Law and Jurisdiction

These Terms are governed by the laws of Spain, without prejudice to any mandatory legal rights to which you are entitled as a consumer, if you act as such.

Any dispute related to these Terms shall be submitted to the courts of Málaga, unless the law provides otherwise.

In the case of contracts with consumers within the European Union, MetamedicsVR informs you that, in accordance with Regulation (EU) 524/2013, an alternative dispute resolution platform is available at:

11. Changes to the Terms

MetamedicsVR may modify these Terms at any time. Modifications will be notified by email to the account administrator and/or published on our website with a minimum notice of 10 calendar days before they take effect.

Continued use of the Service after that period implies acceptance of the new terms.

If the Client does not agree with the modifications, it must communicate its objection before they take effect and may cancel the contract without penalty.

13. Intellectual Property

All intellectual property rights in the Platform, including its software, source code, algorithms, interfaces, visual and audiovisual content, simulations, documentation, trademarks, trade names and logos, are the exclusive property of MetamedicsVR S.L. or its licensors.

The Client and End Users do not acquire any intellectual property rights through the use of the Service, beyond the limited right of use described in these Terms.

The following is expressly prohibited:

  • Copying, modifying, distributing, decompiling, reverse engineering or creating derivative works of the Service.
  • Using any element of the Platform outside the context of the authorized use itself.

Feedback and suggestions

If the Client or its users provide comments, suggestions or ideas for improving the Service (“Feedback”), it is understood that:

  • MetamedicsVR may use such Feedback without restrictions.
  • The Client grants a non-exclusive, irrevocable, royalty-free, worldwide and sublicensable license to incorporate such ideas into future versions of the Service without any right to compensation.
